1. Agreement to Terms
By accessing or using the services provided by Digenio Tech Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.
These Terms constitute a legally binding agreement between you and Digenio Tech Ltd, a company registered in England and Wales.
2. Definitions
- "Services" refers to AI automation solutions, multi-agent systems, consultation, and related services provided by Digenio Tech Ltd.
- "Client" refers to any individual or entity that engages our Services.
- "Deliverables" refers to any work product, code, documentation, or materials created by us as part of the Services.
- "Confidential Information" refers to any non-public information disclosed by either party.
3. Our Services
Digenio Tech Ltd provides AI automation and multi-agent workforce solutions for businesses. Our services include but are not limited to:
- AI automation pipeline design and implementation
- Multi-agent system architecture and deployment
- BOT system development and integration
- Process automation consulting
- Ongoing support and maintenance
4. Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate and complete information necessary for project delivery
- Cooperate with our team in a timely manner
- Provide access to relevant systems, data, and personnel as required
- Review and provide feedback on deliverables within agreed timeframes
- Ensure you have the legal right to use any third-party systems we integrate with
- Maintain appropriate backups of your data before any automation deployment
5. Intellectual Property
5.1 Pre-Existing Materials
Each party retains ownership of all intellectual property rights in materials they owned prior to the engagement.
5.2 Deliverables
Upon full payment, ownership of custom deliverables created specifically for you will transfer to you, except for:
- Our proprietary frameworks, libraries, and tools (licensed to you)
- General methodologies and know-how
- Open-source components (subject to their respective licences)
5.3 Licence to Digenio Tech Ltd
You grant us a limited licence to use your materials solely for the purpose of delivering the Services.
6. Fees and Payment
- Fees for Services will be set out in a separate Statement of Work or Proposal
- Payment terms are specified in the relevant agreement (typically 14 or 30 days)
- Late payments may incur interest at 4% above the Bank of England base rate
- We reserve the right to suspend Services for overdue accounts
7. Confidentiality
Both parties agree to:
- Maintain confidentiality of all Confidential Information
- Use Confidential Information only for the purposes of the engagement
- Not disclose Confidential Information to third parties without prior written consent
- Return or destroy Confidential Information upon request or termination
This obligation survives termination of our agreement for a period of 5 years.
8. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including UK GDPR. Where we process personal data on your behalf, we will enter into a Data Processing Agreement.
9. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the total amount paid by you for Services in the 12 months preceding the claim
- We are not responsible for failures caused by factors outside our reasonable control
Nothing in these Terms excludes or limits our liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
10. Warranties and Disclaimers
We warrant that:
- Services will be performed with reasonable care and skill
- Deliverables will materially conform to agreed specifications
EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
11. Term and Termination
- Either party may terminate Services with 30 days' written notice
- We may terminate immediately for material breach or non-payment
- Upon termination, you will pay for all Services rendered up to the termination date
- Sections on Confidentiality, Intellectual Property, and Limitation of Liability survive termination
12. Third-Party Services and Integrations
Our Services may integrate with third-party platforms (e.g., CRMs, ERPs, communication tools). We are not responsible for:
- Changes to third-party APIs or services
- Downtime or failures of third-party services
- Data stored on third-party platforms
- Compliance with third-party terms of service
13. AI and Automation Acknowledgements
You acknowledge that:
- AI systems have inherent limitations and may produce unexpected results
- Human oversight is recommended for critical decisions
- Automation performance depends on data quality and system stability
- We do not guarantee specific business outcomes or ROI
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to Terms
We may revise these Terms from time to time. The most current version will always be posted on our website. Continued use of our Services after changes constitutes acceptance of the revised Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with any Statement of Work or Proposal, constitute the entire agreement between you and Digenio Tech Ltd regarding the Services.
